Dear All:
Two individuals formed a member-managed limited liability company for the sole purpose of holding a single real property asset (a vacation home). In addition to the typical provisions, powers, and authority found in an operating agreement, I also want to include provisions that address the circumstance in which one party wants to sell their interest in the LLC (and thus their interest in the vacation home). This would probably include a first right of refusal and methods for valuation.
Would any of you be willing to share examples of language to include in the operating agreement that would accomplish this? I'm trying to avoid creating one from "whole cloth."
Thanks.
