Kevin: I do a lot of quiet title work, I would reference both. The “National Association” form of a bank is under federal law, and some reason they do not show up in the SOS database. -Greg Ursich

Dear List-Mates,

Question on a quiet title matter I’m doing for a client. We had an old REK that was assigned to a local bank, which subsequently merged with another local bank, and eventually merged with KeyBank in the 1990s.

I’m bringing the quiet title action against KeyBank due to them not being willing to provide me with a fulfillment deed, just a satisfaction of mortgage from KeyBank National Association, which the title company won’t accept to clear the REK.

However, the only Key entity currently registered with the WA SOS is the parent corp, KeyCorp. Would I just identify “KeyCorp” as the Defendant, or also “KeyBank National Association”, or both? Or maybe just “KeyCorp, its successors and assigns?”
