[WSBARP] Looking for advice on a specialized contract

Hi, Folks.
A client wants me to review a contract for them. They have a business servicing other businesses with accounting, payroll, etc. They are going to enter into a contract with one of the big payroll management services-ADT, Paychecks, etc. If anyone has had any experience with that type of arrangement and would be willing to discuss potential issues, I'd be keen to get some intel on them.
