[WSBARP] Real Estate Contract Not Recorded - Excise Tax

Private seller uses a form Real Estate Contract to sell to tenant.  
Contract _prohibits_ recording until seller pays off underlying loan 
(which has happened). Years and years go by. Buyer now wants to record. 
Excise tax problems?
