[WSBARP] Stock Restriction Agreement

Paul,

Here are a couple of items in my forms folders.  Apparently, the more
complete ones are buried somewhere in client folders.  The agreement form is
pretty brief and was based in another state, but I think it is mostly or all
applicable in a MBCA state.  The other form contains language relating to
insurance buy-sell provisions, as well as S Corp provisions.

 

If you need something more, you could try to find the excellent book 'Estate
Planner's Guide to Buy-Sell Agreements' by Louis Mezzullo.

Listmates, after more years than I care to admit, I find myself again
preparing a stock restriction agreement.  Small, closely held, Washington
S-corporation has parent's transferring 50% of stock to son (I know, I know,
I advised them to transfer only 49%) who will eventually take over the
business.  Anyone have a recent sample stock restriction agreement I could
take and edit to meet my situation?
