[WSBARP] Structure of Transfer

PC owns property A and Neighbor Property B. PC wants to develop commercial
structure on both properties and neighbor will transfer property B in
exchange for a 6 Units having a total square footage of 12000 Square feet.

 

I have many questions. First, Excise tax on the deed transfer since in
exchange he is getting something that doesn't yet exist and has no set
market value at this point. Second, how do we secure each parties
performance under the agreement? I have a few ideas swimming in my head such
as a Mortgage securing the agreement.

 

Any ideas would be appreciated.
