Steve, thanks for your posting.  You are right, the cases say that the disclaimer has to specifically list the liability and the provision must be “bargained for.”

No on the farm disclosures issues, but I would take a look at what the client has. The standard as-is language is probably not effective. Look at the cases which say that you have to be more specific in terms of what you are disclaiming liability for.

Client is selling an old farm/ranch. The property was previously owned by client's step-father who owned, gulp, a backhoe. Client does not specifically know of any buried problems but suspects that there may be buried horses, trash, the sort of things that farmers and ranchers used to bury. My standard disclaimer and AS-IS clause covers the typical hazardous and toxic waste/materials as defined by CERCLA etc but the client says he has seen a disclaimer specifically addressing old farms/ranches. Anyone seen anything like this?

I regularly do securities offerings, including accredited investor raises under 506(b) and 506(c), and real estate transactions. What is the size of the transaction that is being considered? I've also spent quite a bit of time in Ecuador as in my pre-law life I ran an importing business from Ecuador to the US and am quite passionate about that area of the world. I?m reviewing some document for a client. In the past, a parcel of land was deeded to them. The grantor made the deed out with a variation of the name with which they had received the parcel
when they were the grantee. It was a minor variation, something along the lines of ?Bert Smith? instead of ?Albert H. Smith?. This could obviously trip up somebody who was searching land records by name of grantor or grantee. Made me curious about what kinds
of problems, if any, that would cause in effecting the actual conveyance? Separately, what kind of problems would it cause in working with Title companies?
