For what it’s worth, I have used the following in another context: I promise not to sue, and I hold harmless and forever release [client], its agents, officers, members, volunteers, participants, sponsors and lessors or owners of premises on which activities take place, for any damage, injury or loss relating to any act or omission. I have read this Agreement and fully understand that I am giving up substantial legal rights by signing it. I am signing it voluntarily and intend it to be a complete and unconditional release of all liability to the greatest extent allowed by law. If any portion of this Agreement is held to be invalid, all remaining portions shall remain in full force and effect.

Carl,

You are right. I am doing a simple "Property Management Agreement" and in that I need the hold harmless language.

Do you have such an agreement you might share with me?

thanks,

Jim

Merely a Friday afternoon musing (or laziness) on my part, but why would you want a “simple” hold harmless clause in a written agreement? After the contract is signed, the ONLY time you’re ever going to go back and look at that clause again is if a dispute arises relative to a party’s (perhaps your client) obligation or entitlement regarding indemnification. I would want that clause to be very specific and in drafting it, I would want to thoroughly consider the various risks and ramifications in order to ensure my client is either protected or has a clearly enforceable hammer to compel indemnification. Happy weekend.
