If the husband's interest was assigned to the trust, and the LLC agreement is silent on succession, then the trustee can assign it to the beneficiary pursuant to the terms of the trust. So I would think the new assignment is from trustee to wife.</div>

<p class="x_MsoNormal"><span style="font-size:11.0pt">Husband passed away in Oregon. Husband had an interest in a family LLC in Washington state that was in his name only. Husband and Wife had a Living Trust in Oregon in which everything owned by the husband
went to the Wife when he passed away. The LLC interest was in the Living Trust.

<p class="x_MsoNormal"><span style="font-size:11.0pt">We need to now transfer Husband’s interest in the LLC to the Wife. We need to do an Assignment of Interest, however, is the Assignment of Interest from the wife as Trustee of the Living Trust to herself
or from the managing member of the LLC to the wife?</span></p>

<p class="x_MsoNormal"><span style="font-size:11.0pt">The LLC operating agreement is silent on assignment of interests (transferring of interest) when a member dies. When a member dies, their interest does not automatically go to their spouse in the LLC operating
agreement. </span></p>
