I had a client come to me after one was signed as he thought is was just an agreement to agree. The other party considered it a binding contract. It then evolved into intent and whether is had all the material terms, etc. A lot of unnecessary work and expense was created because there was not a clear understanding in the document as to what the intent was in executing it.
