I have nothing to share other than my opinion that the work sure sounds a lot like the out-of-state folks buying an oil rig and looking for local lawyers to draft that contract.

If the next thing to happen is a fat deposit in your trust account via paper check for the purchase and then a ton of pressure to convey the sale proceeds NOW NOW NOW to the buyer you need to look out.
