Subject: [WSBARP] Referral for Receiver

List,

I have probate where the decedent was the Director of a nonprofit corporation, and we need to dissolve the corporation. However, there are no other viable Directors. Pursuant to RCW 24.03A.535, effective January 1, 2022, the Attorney General has the power to appoint a director. I spoke with an Assistant AG assigned to the case and she advised the law is too new and the AG's Office does not have a procedure in place to appoint a Director. So, we discussed having a Receiver type person appointed. My task is to recommend a Receiver and the AG's Office will figure out how they want to appoint the person.

The corporation's "business" is located in Snohomish and there are funds in the bank account, not much, but likely enough to dissolve the corporation and distribute some funds to another nonprofit.

I am seeking a referral for a Receiver to handle the dissolution of the nonprofit. Self referrals welcome

Sincerely,

Michael P. Jacobs
