[WSBARP] Sale of Leasehold Interest

Dear All:
A not-for-profit Washington corporation providing public low-cost dental services is selling its practice at one of its locations to a Washington public benefit corporation organization, which intends to continue providing public low-cost dental services at that location.  Part of the purchase price is allocable to the assignment of an existing leasehold interest.  It looks like that part of the purchase price related to the leasehold interest is subject to the real estate excise tax under WAC 458-61A-106.  (Please feel free to correct me if I am wrong).  The remainder of the purchase price is for tangible and intangible personal property.
Is the sale of the personal property subject to use tax and, if so, how does it get paid?  Does the nature of the two organizations involved provide any exemption from the payment of use tax on the transaction?
