[WSBARP] LLC liquidation, judicial dissolution

Greetings listmates. A client is a minority member in a number of family
owned LLCs (remaining interests owned by her brother). She is seeking an
attorney and/or sharing of documents to assist her with the following:

 

1                     liquidation of an LLC that has been dissolved in
accordance with the terms of its operating agreement.  Substantially all of
the LLC's assets have been converted into cash. Majority owner refuses to
act as liquidator; 

2                     judicial dissolution of an LLC owned by the same 2
family members.  Management and operation of the LLC is deadlocked; and

3                     appointment of forensic accountant

 

Anyone willing to share sample templates of applications/proceedings?
