"Non-controlling interest transfers are aggregated in the lookback period to
determine if the 50% threshold is reached. While the tax does not arise
until the 50% level is reached, each interest in the entity sold during the
lookback period is subject to a proportionate share of the total tax
resulting from the controlling interest transfer."
